TERMS AND CONDITIONS

Please read carefully before accepting, signing, or submitting payment.

1. Deposit and Project Start

A 60% deposit of the total project amount is required before any work begins. No project will be scheduled or commenced until the required deposit has been received.

2. Remaining Balance

Unless otherwise stated in the quotation, proposal, or invoice, the remaining 40% balance is due before final delivery, publication, launch, transfer of files, transfer of credentials, or release of the completed project.

3. Deposit Is Non-Refundable Once Work Begins

Once work has commenced, the initial deposit becomes non-refundable because it covers project scheduling, planning, research, administration, production time, and resources reserved for the project.

4. Client Cancellation

If the client cancels a project after work has commenced, the client remains responsible for:

• 
  all work completed up to the cancellation date;
  


• 
  all approved milestones already started or completed;
  


• 
  any third-party purchases or expenses made specifically for the project; and
  


• 
  any outstanding amount already invoiced and due.
  

If the value of completed work exceeds the amount already paid, Metropolitown may issue a final invoice for the remaining balance.

5. Project Scope and Additional Work

The quoted price covers only the services and deliverables specifically described in the approved quotation, proposal, or project agreement.

Requests outside the agreed scope may require additional fees and may affect the original delivery schedule. Additional work will not be performed without client approval whenever reasonably possible.

6. Client Delays and Project Inactivity

The client is responsible for providing requested content, files, approvals, credentials, feedback, and other materials required to complete the project.

If a project becomes inactive for 30 consecutive days because required information or approval has not been provided by the client, Metropolitown may place the project on hold and reschedule it according to current availability.

Projects inactive for 90 days or more may be considered abandoned. Any amounts already paid remain non-refundable, and restarting the project may require a reactivation fee or a new quotation.

7. Late Payments

Invoices must be paid by the due date shown on the invoice.

Past-due balances may be subject to a late charge of 1.5% per month, or the maximum amount permitted by applicable law, whichever is lower.

Metropolitown may suspend services, hosting management, maintenance, support, project delivery, or access to unpaid deliverables while an account remains overdue.

8. Third-Party Costs

Unless specifically included in the quotation, the client is responsible for third-party expenses such as:

domain names, hosting, premium plugins, software subscriptions, stock assets, advertising budgets, printing, shipping, payment-processing fees, API fees, licenses, and other external services.

Third-party purchases made on behalf of a client are non-refundable once purchased.

9. Quotations and Pricing

Unless otherwise stated, quotations remain valid for 30 calendar days from the date issued.

After the validity period expires, pricing and availability may be revised.

10. Revisions

The number of revisions included in a project will be stated in the quotation or proposal.

Additional revisions, redesign requests, new concepts, or changes requested after approval of a project stage may be billed separately.

11. Final Delivery and Ownership

Final deliverables remain the property of Metropolitown until all outstanding invoices associated with the project have been paid in full.

Upon full payment, the client receives the rights to the final deliverables specified in the agreement, excluding any third-party assets, licensed materials, software, frameworks, plugins, templates, or tools that remain subject to their respective licenses.

12. Project Approval

Client approval of designs, content, functionality, specifications, or project milestones authorizes Metropolitown to proceed to the next stage.

Significant changes requested after approval may be considered additional work.

13. Digital and Technical Services

Metropolitown cannot guarantee uninterrupted operation of third-party platforms, hosting providers, social networks, search engines, payment processors, APIs, plugins, advertising platforms, or external services that are outside Metropolitown’s direct control.

14. Results and Performance

Marketing, SEO, social media, advertising, branding, website, e-commerce, and consulting services are intended to improve the client’s digital presence and business operations.

However, Metropolitown does not guarantee specific sales, revenue, rankings, traffic, followers, leads, or business results unless such guarantee is expressly stated in writing.

15. Chargebacks and Payment Disputes

Clients agree to contact Metropolitown first regarding any billing concern or dispute.

Initiating a chargeback for properly delivered or authorized services does not eliminate the client’s contractual payment obligations.

16. Acceptance of Terms

Acceptance may occur through any of the following:

• 
  signing the quotation, proposal, contract, or invoice;
  


• 
  approving the project electronically;
  


• 
  submitting the required deposit;
  


• 
  placing an order; or
  


• 
  otherwise instructing Metropolitown to begin work.
  

By doing so, the client confirms that they have reviewed and accepted these Terms and Conditions.
